Credit Agreement

Weld Direct Corporation, hereinafter referred to as "The Company" reserves the right to decide, in its sole discretion, whether or not to extend credit to the Applicant. In consideration of the Company’s decision to grant credit to the Applicant, the Company and the Applicant hereby agree as follows:

  1. TERMS OF SALE. Current billing terms are net 30 days from the date of invoice.
  2. TITLE. Title to all merchandise shall remain with The Company until all outstanding obligations of the Applicant have been paid in full.
  3. FINANCE CHARGE. A finance charge of 1.5% per month, 18% per annum, will be imposed each month upon all amounts not paid within the terms of the sale.
  4. TAXES. Applicant will pay the entire amount of any sales, use, excise, or other tax imposed by reason of any credit transaction pursuant to this agreement.
  5. RECOVERY COSTS. If legal action is necessary to collect Applicant’s account, Applicant shall pay the Company’s costs of such collection or recovery, including without limitation, reasonable attorney’s fees or other such additional fees as may be incurred in the collection of the account.
  6. INDEMNIFICATION. Applicant acknowledges that there are hazards associated with the use of certain products that may be sold pursuant to the Agreement. Applicant agrees that its personnel concerned with the products sold hereunder are aware of the hazards and Applicant assumes all responsibility for the warning of its employees and the independent contractors of all hazards to persons, property and the environment in any way connected with any of the products sold pursuant to this agreement. Applicant also assumes all responsibility for the suitability and the results of using any of the products sold hereunder alone or in combination with other articles or substances and any manufacturing, medical, or other process or procedure. Applicant hereby agrees to indemnify and hold The Company harmless for all loss, cost, expense, or damage with respect to any injury to person or property of any kind or character occasioned by the use, operation, handling, or distribution of any of the products sold hereunder. The Company shall not be liable for any incidental, consequential, indirect, or special damages with respect to any products sold pursuant to this agreement.
  7. WARRANTY. Products sold pursuant to the Agreement will meet manufacturer’s standard specification in effect at the time of delivery. THERE ARE NO EXPRESS WARRANTIES BY THE COMPANY OTHER THAN THOSE SPECIFIED IN THIS PARAGRAPH. NO WARRANTIES BY THE COMPANY SHALL BE IMPLIED OR OTHERWISE CREATED UNDER THE UNIFORM COMMERCIAL CODE INCLUDING, BUT NOT LIMITED TO, WARRANTY OF MERCHANTABILITY AND WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
  8. WAIVER. No waiver of any of the terms of this Agreement by the Company shall be effective unless made in writing.
